January 26, 2010
ATTENDANCE AND INTRODUCTIONS

First order of Business
Brief overview of existing Bylaws, Expectations of Board Members and Conflict of Interest documents.
After much discussion it was decided that instead of a Conflict of Interest form that a “State of Grace” document would be forged by Negash, Joe and Sherri in order to model our belief in promoting engagement and collaboration.
The “State of Grace” document will include protections using the “No Harm Ethic” method of group agreements.
Board Members and staff will interact in the process of Co-Creation in order to reach a level of synergy and cooperation that will propel Sustainable Seattle into an era of leadership and innovation that other organizations can emulate.
Distributive Leadership is the process of collective leadership and decision making abilities that is a more equilateral and fair method for organization.
Sustainable Seattle will be a self directed learning environment.
Integral Theory discussed and agreed to be an underlying theme in the overall disposition of the organization.
Discussion of amending the Bylaws to be more fluid and less restrictive led to a decision to do so.
Board Membership will not be an annual appointment, but perhaps a quarterly opening for those who wish to lend their skills, energy and drive to the mission of the Board.

Set the agenda for the next Board meeting on February 2, 2010.
